This website, amstar.com.ph (the "Site"), is owned and operated by Joytis Inc., a corporation duly organized and existing under the laws of the Republic of the Philippines, with principal office at 9149A Catmon Street, Makati City, Metro Manila 1203, Philippines ("Amstar", "we", "us", or "our"). The Site offers products under the brand Amstar PH.

By accessing or using the Site or by placing an order, you ("you", "the customer", or "the user") agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, Refund Policy, and Shipping Policy, which are incorporated herein by reference. If you do not agree to these Terms, please do not use the Site.

1. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your place of residence, to purchase from the Site. By placing an order you represent that you meet this requirement and that the information you provide is true, accurate, and complete.

2. Products and Pricing

All products listed on the Site are subject to availability. We reserve the right, without prior notice, to limit quantities, refuse or cancel any order, discontinue any product, and correct any errors in product descriptions, pricing, or promotional offers. Prices are displayed in Philippine Pesos (PHP) and are inclusive of applicable taxes unless stated otherwise. We make reasonable efforts to display product colors and details accurately; however, actual appearance may vary due to monitor calibration, lighting, and photography.

3. Orders and Acceptance

Your submission of an order constitutes an offer to purchase. We may accept or decline your order at our discretion. A confirmation email acknowledging receipt of your order does not constitute acceptance. Acceptance occurs when we dispatch the order. We may cancel any order at any time prior to dispatch, including, without limitation, where stock is unavailable, payment is not received or is suspected to be fraudulent, the shipping address falls outside our serviceable area, or the order is reasonably believed to have been placed by a reseller or in violation of these Terms. If we cancel an order for which payment has already been received, we will refund the amount paid in full.

4. Payment

Accepted payment methods are displayed at checkout and may include credit and debit cards, e-wallets (e.g., GCash, Maya), bank transfer, and Cash on Delivery (where available). Payments are processed by Shopify Payments and our other payment providers, who are independently responsible for the security of payment information transmitted through their systems.

5. Shipping, Delivery, and Risk of Loss

Shipping terms are governed by our Shipping Policy. Title and risk of loss pass to you upon delivery to the address you provide. You are responsible for providing an accurate shipping address; we are not liable for losses or delays arising from incorrect address information you have supplied.

6. Returns, Refunds, and Warranty

Returns and refunds are governed by our Refund Policy. Nothing in these Terms limits any non-waivable consumer right you have under Republic Act No. 7394 (the Consumer Act of the Philippines) or other applicable Philippine consumer-protection law, including your right to remedies in respect of defective goods.

7. Use of the Site

You agree not to use the Site for any unlawful purpose, including: (a) infringing any intellectual property or other right of any person; (b) transmitting any virus, worm, or other malicious code; (c) collecting personal information of other users; (d) interfering with the operation or security of the Site; (e) using automated means (bots, scrapers, crawlers) to access the Site without our prior written consent; or (f) reselling, copying, or commercially exploiting any content of the Site without our prior written consent.

8. Intellectual Property

All content on the Site — including text, product photography, videos, graphics, the "Amstar" name, logo, and trade dress — is the property of Joytis Inc. or its licensors and is protected by Philippine and international intellectual-property laws. You are granted a limited, revocable, non-transferable license to view and use the Site for personal, non-commercial purposes. No other rights are granted by implication or otherwise.

9. User-Generated Content

If you submit reviews, photographs, videos, comments, or other content to the Site ("User Content"), you grant Joytis Inc. a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, distribute, and display such User Content in connection with the operation and promotion of the Site, the Amstar brand, and our products. You represent that you own or have all necessary rights to the User Content you submit and that it does not violate any third-party right or any applicable law.

10. Promotions, Discounts, and Vouchers

Promotional codes, vouchers, and discount offers are subject to the specific terms communicated with the offer, may be withdrawn or amended at any time, are not redeemable for cash, and may not be combined with other offers unless expressly stated.

11. Privacy

Your personal information is collected, used, and disclosed in accordance with our Privacy Policy, which describes how we comply with Republic Act No. 10173 (the Data Privacy Act of 2012) and its implementing rules.

12. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not under our control. We are not responsible for the content, accuracy, policies, or practices of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to the terms and policies of that third party.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free. This clause does not exclude any warranty or right that cannot be excluded under Philippine law.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Joytis Inc., its directors, officers, employees, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site or any product purchased from the Site, even if advised of the possibility of such damages. Our aggregate liability to you in respect of any claim arising out of these Terms shall not exceed the amount you have paid us for the product giving rise to the claim. Nothing in this clause limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Philippine law.

15. Indemnification

You agree to indemnify and hold harmless Joytis Inc. and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorney's fees) arising out of your breach of these Terms, your violation of any law, or your infringement of any third-party right.

16. Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, to us, or to third parties. Termination does not affect obligations that by their nature should survive, including without limitation Sections 8 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), and 17 (Governing Law).

17. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be brought exclusively before the proper courts of Makati City, Metro Manila, Philippines, without prejudice to the right of either party to seek interim or injunctive relief in any court of competent jurisdiction.

18. Changes to These Terms

We may update these Terms from time to time. The current version is always available on the Site and will indicate the date of last update. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

19. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the policies referenced above, constitute the entire agreement between you and Joytis Inc. with respect to the Site and supersede any prior agreements or understandings.
